Welcome to Santa Monica Picnic Co ("SMPC," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your use of santamonicapicnicco.com (the "Site") and any bookings, quotes, events, gift cards, or related services we provide (collectively, the "Services"). By using the Site, booking an event, requesting a quote, or attending an SMPC-produced event, you agree to these Terms.
If you do not agree, please do not use the Services. For a signed event agreement, that agreement controls where it conflicts with these Terms.
1. Bookings through Peek Pro
Standard packages — including the Picnic, Cabana, Cabana Grande, and Beach Chairs offerings — are reserved through our booking partner Peek Pro. When you complete a booking on Peek Pro, you enter a contract with SMPC subject to (a) these Terms, (b) the specific package details shown on the booking page at the time of purchase, and (c) Peek Pro's own terms of service and privacy policy.
A booking is confirmed only after Peek Pro displays a confirmation and you receive a confirmation email. Pricing, taxes, and any platform fees are as shown at checkout. We reserve the right to decline or cancel a booking if it is incomplete, fraudulent, or cannot be safely produced.
2. Custom events & quotes through Goodshuffle Pro
Corporate events, wedding weekends, large groups, catering coordination, custom-location requests, and other tailored services are quoted through Goodshuffle Pro. Submitting an inquiry does not create a contract. A custom event is confirmed only when (a) you have countersigned the proposal or event agreement issued through Goodshuffle Pro and (b) the required deposit has been received.
The signed proposal or event agreement governs the specific event and supersedes these Terms where it conflicts. These Terms continue to apply for anything not covered there.
3. Payment
Payments are processed by our booking and quoting partners (Peek Pro for standard packages, Goodshuffle Pro for custom events) and their downstream payment processors. SMPC does not store full payment card numbers. All prices are in U.S. dollars and exclude applicable taxes, gratuity, and any third-party permit fees unless explicitly stated.
The payment schedule depends on the type of booking:
- Standard packages (Picnic, Cabana, Cabana Grande, Beach Chairs, and similar offerings booked through Peek Pro) are paid in full at the time of booking.
- Custom events (corporate events, weddings, large groups, catering coordination, and other tailored events quoted through Goodshuffle Pro) require a 50% deposit at the time you countersign the proposal. The deposit is not refundable for cash, but is convertible to future-event credit on the sliding scale described in Section 4. The remaining balance is due no later than 7 calendar days before the event date.
Scope changes on custom events. Clients often adjust headcount, inventory, menu, or other event details between signing and the event date. As a result, the final balance owed may be more or less than the original 50% deposit — it is calculated as the current contract value at the time of invoicing, minus the deposit already paid. The 50% deposit itself is fixed at signing and is not recalculated when scope changes.
4. Cancellations & rescheduling
Because we coordinate staff, equipment, caterers, and venues in advance, cancellations have real costs. Two different policies apply depending on how you booked. Where your signed event agreement states something more specific, that agreement controls.
Standard packages — Picnic, Cabana, Cabana Grande, Beach Chairs
For bookings made through Peek Pro:
- 14+ days before the event: full refund, less a 10% administrative fee.
- 7–13 days before: 50% refund, OR 100% credit toward a future SMPC event (your choice). Credit is valid for 12 months from your original event date.
- Fewer than 7 days before: no refund; 50% credit toward a future event, valid for 12 months from your original event date.
- Fewer than 48 hours before, or no-show: full forfeit, no credit.
Reschedule (standard packages): you may reschedule one time at no fee with at least 7 days' notice, subject to availability. The new event date must fall within 1 year of the original. A second reschedule, or one requested with less than 7 days' notice, is treated as a cancellation under the windows above.
Custom events — corporate, weddings, large groups, catering coordination
For events booked through a signed Goodshuffle Pro proposal. Cancellations are credited toward a future SMPC event on the schedule below. The credit applies to whatever amount you've paid at the time of cancellation (deposit only, deposit plus partial balance, or full payment). You will never be billed any amount beyond what you have already paid.
Credit schedule:
- 90 or more days before the event: 100% of what you've paid becomes credit.
- 60–89 days before: 80% of what you've paid becomes credit.
- 30–59 days before: 60% of what you've paid becomes credit.
- 14–29 days before: 40% of what you've paid becomes credit.
- Fewer than 14 days before, or no-show: no credit.
Future-event credits are valid for 24 months from your original event date and apply to any SMPC service.
Reschedule (custom events): you may reschedule one time at no fee with at least 30 days' notice, subject to availability. The new event date must fall within 1 year of the original. A second reschedule, or one requested with less than 30 days' notice, is treated as a cancellation under the schedule above.
Third-party services billed through SMPC
Where your invoice includes charges for third-party services that SMPC arranges on your behalf — such as catering, food and beverage, equipment rentals, florists, entertainment, photographers, or specialty add-ons — each third-party vendor sets its own cancellation policy. Those policies may be stricter than SMPC's and operate independently of these Terms. This most commonly applies to custom events booked through Goodshuffle Pro, but can apply to any booking where SMPC bills you for outside services.
If you cancel, any amounts SMPC has already paid or contractually committed to third-party vendors on your behalf may not be recoverable, regardless of how far in advance you cancel. These non-recoverable third-party costs are deducted from any future-event credit or cash refund that would otherwise be due to you under this Section 4. SMPC will share known third-party vendor cancellation terms with you upon request, and where practical will flag them on your proposal at the time of booking.
SMPC-initiated changes
If we cannot deliver your event as booked due to circumstances within our control, we will offer to reschedule at no fee or refund amounts paid for the affected portion. Weather and other circumstances outside our control are addressed in Sections 5 and 13.
5. Weather & outdoor conditions
Our events are produced outdoors. To make sure conditions outside our control don't compromise your experience, SMPC offers a weather guarantee.
Weather guarantee. If the forecast for your event location at your scheduled event time shows sustained winds above 15 mph or any rain, you may choose either:
- A full cash refund of all amounts you have paid (including the 50% deposit on custom events); or
- A free reschedule to any available future date within 1 year of the original event date.
SMPC also reserves sole discretion to postpone or relocate an event for safety reasons — including lightning, dangerous surf, heat advisories, beach closures, or air-quality emergencies — even when the weather-guarantee thresholds above have not been crossed. In that case the same two options apply: full refund or free reschedule within 1 year.
Where your invoice includes third-party services (catering, rentals, etc.), the third-party services subsection in Section 4 may affect what is recoverable from those vendors. SMPC will work with you in good faith to minimize any non-recoverable third-party amounts.
If the weather-guarantee thresholds are not triggered and you still wish to cancel due to a forecast you find unfavorable, the standard cancellation policy in Section 4 applies. This Section 5 controls over Section 13 (Force Majeure) for any weather-related event.
6. Permits, public spaces & alcohol
- Public beaches and parks are managed by the City of Santa Monica, Los Angeles County, and California State Parks. Public spaces are not exclusive to any one party. Other beachgoers may use the area, and we cannot guarantee privacy or sole use.
- Permits. SMPC operates within the standard footprint and group sizes allowed at our standard locations. Non-standard setups, larger gatherings, or alternative locations may require a special-use permit; permit fees, if any, are quoted separately and are your responsibility unless we explicitly include them.
- Alcohol. Consumption of alcohol is prohibited on public beaches and in most public parks within the City of Santa Monica and surrounding jurisdictions. SMPC does not provide, serve, or supply alcohol at any event on public land. You and your guests are solely responsible for compliance with all applicable laws, including California Alcoholic Beverage Control regulations.
- Smoking, open flame, amplified sound, and pets are subject to local ordinances at each location. Ask before you bring any of the above.
7. Food, catering & dietary needs
SMPC does not prepare food and does not operate a kitchen. All food and beverage at SMPC events is provided by independent third-party caterers. We work with a roster of preferred catering partners — including Vucacious, Huckleberry Cafe, Milo and Olive, and Thyme Cafe — and will also coordinate with any reputable, licensed caterer of your choosing. When you select your own caterer, that caterer is not an SMPC partner and is solely responsible for the food and beverage it supplies; our role is limited to setup, hosting, and on-site coordination.
It is your responsibility to disclose all dietary restrictions, food allergies, intolerances, and other special needs directly to the caterer (and to copy SMPC) at the time of booking, and to confirm them in writing no later than 72 hours before the event.
SMPC will make reasonable efforts to relay your needs and coordinate with the caterer, but cannot guarantee an allergen-free environment and is not responsible for food preparation, storage, or safety. Items prepared by any caterer are typically made in kitchens that handle common allergens (including nuts, dairy, gluten, eggs, soy, and shellfish). Guests with severe allergies attend at their own risk.
8. Guest conduct, damage & cleanup
You are responsible for the conduct of your guests during the event. SMPC reserves the right to end an event early, without refund, for unsafe behavior, harassment of staff or other beachgoers, or violation of these Terms or local law.
Rental items (cushions, blankets, dishware, decor, umbrellas, chairs, and similar) remain SMPC property. Reasonable wear is expected and included in your fee. Damage, loss, or theft beyond normal wear will be billed at replacement cost, charged to the payment method on file. Standard setup and cleanup time are included; events that run past their scheduled end time may incur an overtime fee at the rate shown on your package page.
9. Photography & marketing use
SMPC photographs setups (tablescapes, decor, ambient shots) for marketing, social media, and partner materials. We do not knowingly publish identifiable images of clients or guests without their consent. If you prefer that we not photograph at your event, email info@santamonicapicnicco.com at least 48 hours before your event date.
10. Gift cards
- SMPC gift cards do not expire and may be applied toward any package or service.
- Gift cards are non-refundable for cash, except where required by California law (Cal. Civ. Code § 1749.5, which permits cash redemption of balances under $10).
- Gift cards are transferable. Lost or stolen cards delivered by email cannot be replaced; keep your code secure.
- Gift cards may not be applied to gratuity or third-party permit fees.
11. Assumption of risk & limitation of liability
You acknowledge that SMPC events take place outdoors and involve inherent risks, including but not limited to: uneven terrain, sand, sun and heat, wildlife and insects, ocean and tidal conditions, weather changes, and the presence of other members of the public. You and each of your guests voluntarily assume these risks.
To the maximum extent permitted by law: (a) SMPC's total liability arising out of or relating to the Services will not exceed the amount you actually paid SMPC for the event giving rise to the claim; (b) SMPC will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data; and (c) nothing in these Terms limits liability that cannot be limited under California law, including for gross negligence, willful misconduct, or personal injury caused by SMPC's negligence to the extent California law forbids such limitation.
12. Indemnification
You agree to defend, indemnify, and hold harmless SMPC, its owners, employees, contractors, and catering partners from and against any claims, damages, losses, liabilities, and reasonable attorneys' fees arising out of: (a) your or your guests' breach of these Terms; (b) your or your guests' violation of any law or third party's rights at an SMPC event; or (c) damage caused by you or your guests to SMPC property or to third-party property at the event location.
13. Force majeure
SMPC is not liable for failure or delay in performance caused by events outside our reasonable control, including but not limited to: natural disasters, wildfires, severe weather, earthquakes, public-health orders, government action, beach or park closures, civil unrest, strikes, or supply-chain disruptions. In a force majeure event, we will work with you in good faith to reschedule. Any non-recoverable costs we have already incurred with third-party vendors on your behalf are non-refundable.
14. Hotel partner bookings
SMPC partners with a range of hotels in the Santa Monica area — including, but not limited to, Shutters on the Beach, Hotel Casa del Mar, Fairmont Miramar, Santa Monica Proper, Loews, Shore Hotel, and Viceroy — and adds new hotel partners from time to time. Guests booking through any partner hotel (whether listed above or not) may also be subject to that hotel's own terms, conditions, and concierge policies. Where a partner hotel's terms conflict with these Terms regarding the SMPC service itself, these Terms control.
15. Third-party services
The Services rely on third-party platforms — including Peek Pro (booking), Goodshuffle Pro (quoting and contracts), our catering partners, and payment processors. Your use of those services is also governed by their own terms and privacy policies. SMPC is not responsible for the acts, omissions, or downtime of any third-party platform, but we will work in good faith to resolve any issue that affects your event.
16. Privacy
What we collect. When you book an event, request a quote, contact us, or browse the Site, we collect: your name, email, phone number, billing and event-location addresses, event details (date, headcount, dietary needs, special requests), and — via our payment processors — the limited payment data needed to complete your booking. We do not store full payment-card numbers ourselves. We may also receive limited information from third parties, such as partner hotels referring guests to us.
How we use it. We use your information to deliver the Services (set up your event, communicate with you, coordinate caterers and vendors), process payments and refunds, manage gift-card balances and future-event credits, send service-related messages (confirmations, reminders, weather notices, follow-ups), and improve our operations.
Who we share it with. We share information with third parties only as needed to deliver the Services or as required by law:
- Peek Pro for standard-package bookings.
- Goodshuffle Pro for custom-event quotes and contracts.
- Payment processors used by Peek Pro and Goodshuffle Pro for card processing.
- Catering and event partners — only the information they need to deliver your event (name, headcount, dietary needs, location, day-of contact).
- Email and SMS providers used to send service-related messages.
- Government authorities when required by law (e.g., subpoena, permit verification).
We do not sell your personal information.
Cookies and analytics. The Site uses standard browser cookies and may use website-analytics tools (such as Google Analytics) to understand how visitors use the Site. You can disable cookies in your browser settings; some Site features may not work fully without them.
Your California privacy rights. If you are a California resident, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) give you the right to: know what personal information we collect about you and how we use it; request a copy; request deletion (subject to legal exceptions, such as records we must retain for tax or contract reasons); and opt out of any sale or sharing of your information for cross-context behavioral advertising. We do not sell or share your information for advertising purposes. To exercise any of these rights, email info@santamonicapicnicco.com with the subject line "Privacy Request" — we will respond within 45 days.
Retention. We retain your information for as long as needed to deliver the Services and meet our legal, tax, and accounting obligations (typically up to 7 years for transactional records). After that we delete or de-identify it.
Children. The Site and Services are intended for adults (18+). We do not knowingly collect personal information from children under 13. If you believe a child has provided us information, email info@santamonicapicnicco.com and we will delete it.

17. Intellectual property
The Site, including its text, photography, design, logos, and the "Santa Monica Picnic Co" name, is owned by SMPC and is protected by U.S. and international copyright and trademark law. You may not reproduce, distribute, or create derivative works from Site content without our prior written permission, except for personal, non-commercial browsing.
18. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be highlighted on this page. For bookings already in progress, the version of these Terms in effect at the time of your booking applies to that booking.
19. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.
